1. DEFINITIONS

1.1 Bill of Lading (B/L): Refers to a document used to transport cargo from one Sea Port to another, establishing the terms of a contract between the Customer and Star Pacific Shipping Services.

1.2 Cargo: The goods received from the shipper, described on the Bill of Lading, and carried on an aircraft or shipping line.

1.3 Carrier: Any entity undertaking carriage by rail, road, sea, air, or inland waterway, as stated on the B/L.

1.4 Consignee: The person entitled to receive goods from the Carrier.

1.5 Container: Carrier's refrigerated container measuring 20' and/or 40'.

1.6 Customer: The person or entity to which Star Pacific Shipping Services is rendering its services.

1.7 FIATA: International Federation of Freight Forwarders Associations.

1.8 PIFFA: Pakistan International Freight Forwarders Association.

1.9 Port of Discharge (POD): The port where cargo is discharged from means of transport.

1.10 Port of Loading (POL): The port where the cargo is loaded onto a seagoing vessel.

1.11 Product: The products/goods described on the Bill of Lading.

1.12 Star Pacific: Refers to Star Pacific Shipping Services.

1.13 Services: As defined in Clause III of this contract.

1.14 STC: Standard Trading Conditions of PIFFA.

1.15 Temperature: The tentative temperature range of the product if required.

1.16 Terminal: An assigned area where containers are prepared for loading or stacked after discharge.

1.17 Terminal Charge: A charge made for a service performed in a carrier's terminal area.

2. ROLE OF STAR PACIFIC

2.1 Star Pacific Shipping Services may provide the Customer with updated status of the shipment or container at regular intervals.

2.2 When acting as an agent, Star Pacific acts on behalf of the Carrier or third party, establishing a direct agreement between the Customer and the Service Provider.

2.3 Star Pacific arranges transportation in compliance with all laws and regulations, with responsibility limited to arranging, not performing, transportation.

2.4 Star Pacific is not responsible for the performance and negligence of third parties, and liability ends once the cargo is handed over to the Carrier or Terminal.

2.5 In case of loss or damage, claims shall be noticed, filed, and adjusted according to the Carrier's claim handling procedures.

3. CUSTOMER OBLIGATION

3.1 The Customer warrants that it is the importer/exporter or owner of the goods and has full power and authority to retain Star Pacific.

3.2 Customer is responsible for loading cargo in compliance with Carrier's requirements to ensure seaworthiness.

3.3 Customer shall provide accurate information and documents required under this contract.

3.4 In case of non-delivery, the Customer may incur costs at POD or POL, payable on demand.

3.5 In case of cargo discrepancy at the Destination, the Consignee must lodge a complaint with the Carrier.

4. FINANCIAL TERMS

4.1 Customer shall make payment as provided in Annexure B, exclusive of taxes and additional expenses incurred.

4.2 Payment shall be made within the agreed days or in advance, as specified in the agreement.

4.3 Star Pacific is entitled to retain brokerages, commissions, and other remunerations.

4.4 Disputes regarding invoices must be notified in writing within 7 days.

4.5 Customer shall indemnify Star Pacific for disbursements, customs duties, and other liabilities.

4.6 Customer agrees to indemnify Star Pacific for expenses made on its behalf.

4.7 In case of non-payment, the Customer shall be liable for compensation and financial charges.

5. INDEMNITY/UNDERTAKING AND INSURANCE

5.1 Customer shall indemnify Star Pacific for any loss, damage, or liability arising from a breach of contract.

5.2 Customer undertakes that no illegal or prohibited articles are contained in the cargo.

5.3 Star Pacific is not responsible for loss or damage due to delays, detentions, or other reasons beyond its control.

5.4 Star Pacific recommends that the Customer maintains insurance for its assets and goods.

6. FORCE MAJEURE

6.1 Star Pacific shall be relieved of liability for any loss, damage, or performance caused by events beyond reasonable control.

6.2 Any expense arising as a result of a force majeure event shall be charged to the Customer.

7. LAW, JURISDICTION, AND CONCILIATION

7.1 This contract shall be governed by the laws of Pakistan, with exclusive jurisdiction in the Courts of Karachi.

7.2 Differences or disputes shall be referred to arbitration in accordance with applicable laws.

8. GENERAL

8.1 Star Pacific and the Customer acknowledge their independent contracting status, and this contract does not create any agency, joint venture, or partnership.

8.2 If any part of this contract is declared unenforceable or invalid, the remainder shall continue to be valid and enforceable.

8.3 Notices pursuant to this contract shall be in the English language and can be given by registered mail, telefax, or email.

8.4 Information about this contract shall not be disclosed to third parties unless required by law or for the performance of the contract.

8.5 Transit time is approximate, and Star Pacific will not entertain claims regarding transit delays.

8.6 This contract contains the entire understanding of the parties, and no modification shall be effective unless in writing and signed by both parties.
